Ok so if I just upgrade to squid-3.1.8-1.el5.i386.rpm will I be able to adjust max_filedesc in squid.conf?

 Yes. 3.0 needs a rebuild to change the max in Squid. If the limit is reduced from that by ulimit then changign ulimit is all that is needed.
