thanks a lot...

i change my squid
from
squid-2.5.STABLE6-3.4E.12
to
squid-2.5.STABLE14-1.RHEL4

http://people.redhat.com/stransky/squid/

after that everything is working...
with same configuration "squid-2.5.STABLE6-3.4E.12" failed to start properly...
